Preamble:
We, the members of Texas Red, come together to establish this charter to govern our nonprofit organization. Our purpose is to provide high-quality medical care to those in need throughout the galaxy, and to promote the advancement of space medicine through research, education, and innovation.
Article I: Name and Status
The name of this organization shall be Texas Red, hereinafter referred to as TEXRED. TEXRED is a nonprofit organization, incorporated under the laws of the United Empire of Earth.
Article II: Mission and Objectives
The mission of TEXRED is to provide high-quality medical care to all individuals in space, regardless of their background or status, and to promote the advancement of space medicine through research, education, and innovation. Our objectives are to:
Provide state-of-the-art medical technologies and specialized teams to meet the diverse needs of our patients
Develop new techniques and technologies to push the boundaries of space medicine
Collaborate with other organizations, governments, and individuals to improve healthcare access and outcomes for all
Provide education and training opportunities for medical professionals in the field of space medicine
Article III: Membership
Membership in TEXRED shall be open to any individual who supports the mission and objectives of the organization. Membership shall be granted upon approval by the Board of Directors and payment of any required dues or fees.
Article IV: Board of Directors
TEXRED shall be governed by a Board of Directors, consisting of no fewer than five and no more than nine members. Directors shall be elected by the membership for a term of two years and shall serve without compensation.
Article V: Officers
The officers of TEXRED shall consist of a President, a Vice President, a Secretary, and a Treasurer. Officers shall be elected by the Board of Directors for a term of one year and may be re-elected for successive terms.
Article VI: Meetings
Regular meetings of the membership shall be held at least once per year, at a time and place determined by the Board of Directors. Special meetings may be called by the President or by a majority of the Board of Directors.
Article VII: Amendments
This charter may be amended by a two-thirds vote of the membership, provided that notice of the proposed amendment has been given to the membership at least thirty days prior to the vote.
