Article I — Name and Nature

The entity herein recognized shall be known as Umbra Corporation (hereafter referred to as Umbra).
Umbra is a private interstellar enterprise operating across the United Empire of Earth (UEE) and beyond, specializing in commerce, intelligence, security, and strategic influence.
Umbra is autonomous, self-governing, and answerable only to its own leadership.

Article II — Purpose and Objectives

The purpose of Umbra Corporation is to:

1. Secure and expand influence across all major systems through economic dominance, intelligence operations, and strategic partnerships.
2. Acquire, develop, and control high-value assets including trade routes, resources, technologies, and data.
3. Provide corporate security and enforcement through private military operations under Umbra Security Division (USD).
4. Ensure the survival and advancement of its members through profit, secrecy, and unity.
5. Shape the galactic balance of power by any means deemed efficient and necessary.

Umbra exists not to serve the galaxy — but to direct its evolution.

Article III — Organizational Structure

Umbra Corporation is divided into four primary divisions, each operating under the authority of the Umbra Board of Directors:

1. Umbra Logistics Division (ULD)

* Oversees resource extraction, trade routes, cargo transport, and industrial operations. * Ensures economic stability and profit generation for corporate interests.

2. Umbra Security Division (USD)

* Acts as the corporation’s defense and enforcement arm. * Conducts patrol, escort, interdiction, and covert operations as directed.

3. Umbra Intelligence Network (UIN)

* Handles reconnaissance, infiltration, data acquisition, and information control. * Develops technological advancements and monitors corporate and political threats.

4. Umbra eSports Division

* Competes in ATMO and other eSports events.

5. Board of Directors (BoD)

* The supreme governing body of the corporation. * Composed of senior officers and division heads. * Responsible for strategic direction, diplomatic relations, and enforcement of the Charter.

Article IV — Membership and Conduct

1. Admission: Prospective members must demonstrate loyalty, discretion, and capability. Entry is by sponsorship and approval from an authorized officer.

2. Loyalty: Members shall pledge allegiance to Umbra Corporation above all other affiliations. Betrayal, espionage, or unauthorized information disclosure constitutes high treason and will result in permanent removal.

3. Conduct: All members shall uphold the Umbra Code, prioritizing efficiency, secrecy, and unity. Actions that compromise the Corporation’s reputation, assets, or security are grounds for disciplinary action.

4. Advancement: Promotions are earned through results, not tenure, (with the exception of advancement from Applicant to Member). Loyalty, initiative, and operational success determine rank and privilege.

1. The Umbra Board of Directors holds ultimate authority over all corporate matters.
2. Division Commanders enforce council directives and maintain discipline within their ranks.
3. Violations of the Charter or Code are subject to review by a Council Tribunal.
4. Enforcement measures may include demotion, expulsion, or termination of contract — permanently if required.

Article VI — Assets and Operations

1. All ships, stations, and holdings under Umbra’s banner are corporate property, unless otherwise designated.
2. Members are authorized to operate independently for profit, provided such actions benefit Umbra’s strategic or economic goals.
