——- What is the point of this organization? ——

We are going to basically try to provide members with the ability to do anything in the game that the game will allow you to do. Organization’s are just like a clan and are a way to work with other players to provide a more robust experience in the game. We will try to provide the foundation of organization by assigning the right people to the right jobs. You want to lead a division… hot damn give it a go! This game is about what you want to do, and we will support you with what resources this corporation has available at the time under a cool name and logo.

Like you we are gamers that want to enjoy the game. The idea behind Blackthorn is to kinda be the Raytheon ( the do it all ) and Blackwater ( a real world PMC ) of Star Citizen. We want to have a reason to have our hands in anything and everything and have the right people to do it.

Role Play?

Ya you can or you can just enjoy the game. If you want to role play then it has to feel real, well Blackthorn is the place that will allow you to do that…. but it’s not a requirement for members, it’s an option.

OUR HISTORY

Blackthorn was formed in 2063 by a group of operators and investors who sought to combine best-in-class brands, assets and people within the complex risk management industry. Promoting a culture of compliance and operational excellence, the Blackthorn family of companies has grown since formation to include a universal team of industry leaders. Today, Blackthorn is the largest and most diverse provider of risk management services, offering turn-key solutions to address our clients’ most complex challenges wherever they are needed around the verse.

Past Legal Issues

The legal department states that we must also include the following information in our public disclosure. At the end of the war Anvil and MISC attempted to incriminate Blackthorn with the darker side of the verse, claiming we were fencing stolen goods for the less than desirables in the verse. Specifics were never provided by MISC and Anvil could never prove that the serial numbers of multiple ships recovered by Blackthorn were stolen, and thus was forced to drop all accusations. Both companies later publicly apologized for the misunderstanding and the Grand Marshall himself spoke out in favor of Blackthorn. Noting that Blackthorn had served with honor during the war fighting in some of the darkest holes in the verse to ensure humanity’s survival.

We are going to game our bloody hearts out doing whatever feels good and have fun doing it. We are going to try to do anything and everything we can.

PMC: If we can send mercs in to support a dic(K)tator, hell ya lets do it. If we are going to send in mercs later to take out said dic(k)tator… hell ya let’s do it. It’s about fun, and nothing is more fun that getting paid to smash someone else’s pixel clown.

Exploration: If we are going to explore new worlds and seek out new profits… hell ya let’s do it and do it in style!

Mining, trading, etc..: Hey we understand the basic needs of any civilization, if this is where you want to spend your time we will not hold against you, and if it’s of high value why not take a fire team from one of other divisions to watch your back.
The point of the organization is to be a matrix for centralization.

What we don’t want to do is sit around with our thumbs up our own arse without friends or resources to do anything.

The idea is to let people play in the org however they want… some will RP ( awesome makes us look good ), some will mine ( hell ya hump those rocks baby! ), some are just going to get their kicks out of killing pixel clowns ( ROFL dude you’re dead ), some of us will work behind the scenes to help other entities achieve their goals while making a profit in the process… this is what BlackThorn is about. We are a diverse family with a mutual interest to make a profit anyway we can.

Charter

RESTATED CERTIFICATE OF INCORPORATION (CHARTER) OF BLACKTHORN.

Blackthorn Group, a corporation organized and existing under the General Corporation Law of the United Nations Of Earth (UNE), does hereby certify:
  1. The original Certificate of Incorporation was filed with the Secretary of State of Montana on May 28, 2063 (pre UNE).
  1. The following Restated Certificate of Incorporation was duly adopted by the corporation’s Board of Directors in accordance with the provisions of Section 245 of the General Corporation Law of the State of Montana and only restates and integrates and does not further amend the provisions of the corporation’s Certificate of Incorporation as heretofore amended and supplemented, and there is no discrepancy between those provisions and the following.

ARTICLE 1. NAME

The name of this corporation is Blackthorn Inc.

ARTICLE 2. REGISTERED OFFICE AND AGENT

ARTICLE 3. PURPOSES

The purpose of this corporation is to engage in any lawful act or activity for which corporations may be organized under the General Corporation Law of The UNE.

ARTICLE 4. SHARES

This is a privately held corporation and as such is not required to sell shares. All rights and profits of this corporation are held by the Founding Families (Founders) which have invested and established this company.

ARTICLE 5. DIRECTORS

The number of Directors of the corporation shall be determined in the manner provided by the Bylaws and may be increased or decreased from time to time in the manner provided therein. Written ballots are not required in the election of Directors.

ARTICLE 6. BY-LAWS

The Board of Directors under the guidance of the CEO shall have the power to adopt, amend or repeal the Bylaws of the corporation; provided, however, the Board of Directors may not repeal or amend any bylaw that the Founding members have expressly provided may not be amended or repealed by the Board of Directors. The founders shall also have the power to adopt, amend or repeal the Bylaws for this corporation.

ARTICLE 7. PREEMPTIVE RIGHTS

Preemptive rights shall not exist with respect to shares of stock or securities convertible into shares of stock of this corporation.

ARTICLE 8. CUMULATIVE VOTING

The right to cumulate votes in the election of Directors shall not exist with respect to shares of stock of this corporation.

ARTICLE 9. AMENDMENTS TO CERTIFICATE OF INCORPORATION

This corporation reserves the right to amend or repeal, by the affirmative vote any of the provisions contained in this Certificate of Incorporation. The rights of the Founders of the corporation are granted subject to this reservation.

ARTICLE 10. LIMITATION OF DIRECTOR LIABILITY

To the full extent that the UNE General Corporation Law, as it exists on the date hereof or may hereafter be amended, permits the limitation or elimination of the liability of directors, a director of this corporation shall not be liable to this corporation or its Founders for monetary damages for breach of fiduciary duty as a director. Any amendment to or repeal of this Article 10 shall not adversely affect any right or protection of a director of this corporation for or with respect to any acts or omissions of such director occurring prior to such amendment or repeal.

ARTICLE 11. ACTION BY FOUNDERS WITHOUT A MEETING

Only action properly brought before the founders by or at the direction of the Board of Directors may be taken without a meeting, without prior notice and without a vote..

ARTICLE 12. SPECIAL MEETING OF FOUNDERS

The Chairman of the Board of Directors, the Chief Executive Officer, the President or the Board of Directors may call special meetings of the founders for any purpose. A special meeting of the founders shall be held if the holders of not less than thirty percent (30%) of all the votes entitled to be cast on any issue proposed to be considered at such special meeting have dated, signed and delivered to the Secretary one or more written demands for such meeting, describing the purpose or purposes for which it is to be held.

ARTICLE 13. BUSINESS COMBINATIONS WITH INTERESTED FOUNDERS

The corporation expressly elects not to be governed by Section 203(a) of Title 8 of the UNE General Corporation Law.
