IDIC: “Infinite Diversity in Infinite Combinations”

In Vulcan, the expression “Kol-Ut-Shan” expresses the believe that diversity is more powerful than homogeneity. Evolution itself relies not only upon diversity, but upon gradual diversification. We believe that through diversity our organization will have the greatest possible potential and we seek at all times to be inclusive and consider ideas that are intitially foreign to us.

Cooperation

Evolution most certainly uses competition, and more precisely, death, to differentiate evolution from mutation. One truth that evolution has revealed is that cooperation is more powerful than competition. From symbiosis, to multi-cellular organisms, to social forces like “love,” evolution tells us that there is an advantage to those that value the “other” and work together toward co-existence. We believe that working together, serving the greater good, and even having compassion and respect for those around us is the best guarantee of avoiding extinction and embracing the uncertain future.

Courage

We are not talking about fool-hearty pursuits or risky enterprises here. We are referring to that unquenchable fire within each and everyone of us to “become” more than we are now. That ceaseless lust for bettering ourselves and others. To see just what we can accomplish. This desire is more than just a preoccupation, it is a value. For us, the possibility of becoming more is more important than simply continuing to “be.”

Mission

To live like kings among the stars. Through salvage, trade, and mining the Space Wizards will create a massive fleet of super awesome ships so we can roll up to parties in style or kick some major ass with a huge fleet of high powered ships, if needed.

Definitions

Space Wizards – Space Wiz or the company
Good Standing – No overdue, unpaid outstanding debts towards the company or other members of the company, no ill will towards the company or its members.
Voting Quorum – 50% of all eligible members.

Gaining New Members

Entry into Space Wizards is open to all applicants if they are in good standing with the rest of the members. Applications are reviewed by Space Wiz officers, with the Founder and Co-Founder making the final decision on entry if questions arise about the application. A valid email is required to join.

There are two levels of members per the following conditions:

Officers: An officer has full rights within Space Wiz regarding it’s operation. To become an officer you must assign a piece of property to the organization. Property must be assigned within 1 year of Persistent Universe release.

Government

Space Wiz will consist of Officers and Members in Good Standing. Officers have specific roles and responsibilities (defined below) and have full voting rights as well as shared ownership and full usage rights of all property owned by Space Wiz. Members in Good Standing have roles assigned by officers and limited voting rights within Space Wiz as well as the ability to use Space Wiz owned property for the length of their participation in the company.

Officer Roles

Officer roles have equally shared ownership in Space Wiz property. Officer Roles have full use of all Space Wiz property and 2 votes in all Space Wiz elections. Officer roles are listed in order of rank (only relevant for non-written voting). Other Officer position names and responsibilities may be added when a new Officer is elected through the coordination of the Officers. Responsibilities and title will be decided no longer than 1 month after the new Officer assumes their responsibilities.

Founder – Chief decision maker and vision caster for Space Wiz. The Founder will break ties for votes. Founder decides which areas of space are best for jobs and revenue.

Co-Founder – Chief Assistant to the Assistant Chief. In the instance that the Founder is unavailable for decisions which need to be made for Space Wiz and a reasonable effort has been made to contact the Founder the Co-Founder will be able to break vote ties. The secondary responsibility of the Co-Founder is to be the public voice for Space Wiz, if bounties need to be raised or shipments levied the Co-Founder will ensure these translations are handled.

Fleet Leader – In the instance that Space Wiz engages in battle the Fleet Leader will command all ships in the Space Wiz fleet.

Stratego – Strategist for the Space Wiz fleet. Will ensure Space Wiz is moving towards the mission in the best possible manner. The Stratego will set long range goals for the company to achieve the mission and ensure Space Wiz achieves these goals.

Leader of Loot Ledger – the LLL will keep track of loot, minerals, ships, and equipment owned by Space Wiz. Approval must be gained from the LLL or an assigned subordinate prior to checkout of ships or Space Wiz owned equipment.

Master or Acquisition – The MA will coordinate the resources of Space Wiz in efforts for acquisition of materials scavenged from space and mining operations.

Ordinary Members

Members in Good Standing – A MiGS is a participant who has access to the resources of Space Wiz and 1 vote in company elections. Upon sale of Space Wiz property the MiGS will receive no profit from the sale. If a MiGS has been hired for a salary the salary will be paid per the agreement.

Member in Poor Standing – A MiPS is a past participant who has been removed from participation in Space Wiz decisions, profit or use of property. The MiPS will have no voting rights, no property rights, no usage rights or any other rights in Space Wiz either implied or stated for the extent of time that the member remains in Poor Standing. Officers may become MiPS if they do not pay back debts owed to the company, or it’s members in the time frame agreed, or if they cause great harm to the Space Wiz or it’s members. The standing of a member is solely contingent upon the vote of a majority of the Space Wiz Officers.

Ex-Member – An Ex-Member is a member who has left the company on good terms and, upon the discretion of Space Wiz officers, may use Space Wiz property, given the appropriate proof of the ability to pay back any costs due to lost or damaged property.

Election of Officers

Officers will be elected upon the initial formation of Space Wiz. Initial formation will close at the end of 2014, with the Founder and Co-Founder designating Officers, requirements of property assignment is required for continued Officer Status.
Upon the need for a new officer position to be filled the following procedure will be used.
1. The candidate must be a Member in Good Standing.
2. The property assignment will be due before Officer rights and responsibilities can be used.
3. A general Space Wiz election will be held with a Yes or No vote for acceptance for the officer. A 75% Yes vote is required for new Officers.

Length of Officer positions

• An officer position will remain in effect for the remainder of their participation in the company, contingent upon their Good Standing Status, and their desire to continue participation with Space Wiz.
  If an officer in Good Standing desires to step down from their officer position they may cash out their stake in Space Wiz and either forfeit rights to the company, or become a general Member in Good Standing.
  Exchange of Officer position will be possible with an approval vote among Officers and a 75% participation and 100% Yes vote.

Company Elections/Votes

Votes
Decisions involving purchases or sale of Space Wiz property for 10% of the total Space Wiz wealth or greater will be voted upon using voting process defined below.

Elections
Election of new Space Wiz Officers will be voted upon using the process defined below.

Voting Process

All members of Space Wiz in Good Standing and Officers in Good Standing may vote.
MiGS may cast 1 vote for each election/vote either for or against the decision.
Officers may cast 2 votes for one side of a decision in each election/vote either for or against.
Tie votes will be resolved by one final, additional, vote by the Founder.
Votes will be formulated so as to allow for a Yes/No decision with a description of the pros and cons for the decision listed in the survey. A best effort must be made to notify all members of the vote prior to the vote.
All votes must pass with a minimum quorum of 50% participation. In the case of election of Officers or other large decisions the participation must be 50% and the vote must be carried by at least 75%.

Conducting the Vote

Usage of Survey Monkey or other online voting medium.
In the case that a quorum is present in game, or other locations (in-person) a vote may be passed without using a written medium. When votes are passed in person the highest ranking Officer must notify the remainder of the company within one week of the decision. Grumbling and distrust will ensue if the highest ranking Officer does not notify the remainder of the company.

Two surveys will be conducted, one for all members and one only for Officers (this is how the 2:1 votes will be tallied).

Daily Activities

Through salvage, mining and trade members of the members of the company will move forward with the vision cast by the Founder and blocked out by the Stratego.

All resources gathered through the use of Space Wiz property becomes the property of Space Wiz and will be used for creating a huge fleet of ships to live fantastical lives as Star Citizens.

Amending the Charter

Amendments to this Charter may be made at any time with a 75% approval and at least 75% of Officers present for the vote. Amendments may be added at the sole discretion of Space Wiz Officers. Amendments will be either added as an addendum or inserted into the text. Notification of Amendments will be presented by the Founder to the organization to avoid grumbling and discontent among members within 1 week of charter changes.

Conflict Resolution

In the instance where a conflict arises a neutral party will be agreed upon by both parties mediate and pronounce judgment upon the conflict. The neutral party will hear both sides of the argument and award damages or penalties according to their judgment. Failure to abide by the fines or penalties will result in the member becoming a Member in Poor Standing and expulsion from Space Wiz and forfeiture of all contributed property and rights.

Property Ownership and Rights of Use

All Officers retain equally shared right to the property of Space Wiz and full use of all Space Wiz property. All property checked out must be approved by the Leader of Loot Ledger or persons assigned by the LLL.
Members in Good Standing have full use of all Space Wiz property, but retain no ownership in any Space Wiz property.

Property Damage and replacement

For all vehicles with insurance no damages will be required for the base vehicle model. If custom parts or other items not covered by insurance are damaged or lost replacement or equivalent in UEC will be due within 1 month of loss and given over to the Leader of Loot Ledger.

Insurance Purchasing

Insurance will be maintained through the acquisition of goods and materials. All insurable equipment and vehicles will maintain insurance during the duration of Space Wiz ownership. Insurance purchase and maintenance are to be maintained by the Founder and Co-Founder.

Dissolution of the Company

A vote for Dissolution of Space Wiz may be enacted through a unanimous (100%) Yes vote by All (100%) of Officers in the company. Assets will be distributed as follows:
The total assets of Space Wiz will liquidated as much as possible by the Master of Acquisition and the total value of all assets will be determined by the Leader of the Loot Ledger. The liquid assets of Space Wiz will then be distributed among the Officers and all rights to property and use of shared resources will be dissolved. We will sniff a bit and click Alt-L together, eject, and freeze in space a while.
