Charter

I. Charter

A. Terms

i. JabCon – The shortened name for Jaber Conglomerate

ii. Corporation – Corporation refers to the Jaber Conglomerate as a whole

iii. Division – Jaber Conglomerate is broken into various divisions, to be discussed in the next section

iv. Board – The JabCon board is made up of the CEO, Vice-CEO, and each of the divisional heads. For voting purposes, one vote is allotted to each individual on the board. The Vice-CEO shall be the Chairperson of the Board.

v. Member—a member is defined as a single human member of JabCon. NPCs or multiple accounts will be folded under a single membership, and in the case of a vote, will only count as a single vote.

B. Amendments

i. Amendments to this JabCon charter can be proposed by any member of the board. In such a situation, the board will vote on approval of the amendment. In order to be enacted, a simple majority of the board must approve.

ii. Any regular employee of JabCon may also propose an amendment, but will require the proposal be seconded by another member. A 2/3rds vote of total active JabCon membership is required for ratification.

C. Scope

i. The scope of this charter includes all high-level management pertinent to the corporation as a whole, which includes:

a) Divisional Management

*** Adding or removing a division from JabCon
*** Defining the operational role of a division
*** Handling of divisional disputes

b) Corporate Finances

*** Management of the corporate funds
*** Purchasing and management of corporate-held assets
*** Corporate-wide taxation

D. Ratification

i. This charter was initially ratified via absolute majority of total Membership.

II. Divisions

A. Divisions within JabCon

i. Jaber Express Shipping (JabEx)

a) Jaber Express Shipping is the trading and hauling arm of JabCon.
b) Their operational duties include the following:

*** Relocating Corporation-owned goods from one sector to another
*** Trading goods and information in an effort to make a profit
*** Accepting hauling contracts

ii. Jaber Express Security (JabSec)

a) Jaber Express Security is in charge of the physical well-being of the corporation.
b) Their operational duties include the following:

*** Ensuring the safety of Corporation-owned, leased and rented assets. This includes, but is not limited to, ships, goods and factories.
*** Ensuring the safety of JabCon employees and contractors.
*** Maintaining security for corporation operations in both space and on the ground.

c) Exceptions to JabSec’s security coverage will be defined and maintained under its Divisional Charter

*** JabCon’s CEO or Vice-CEO may mandate coverage based on organizational need that overrules exceptions listed under the Divisional Charter.

iii. Jaber Express Exploration Corps (JabEC)

a) Jaber Express Exploration Corps is intended to explore unknown parts of the galaxy in order to further corporate goals.
b) Their operational duties include the following:

*** Finding new jump points for selling or for internal corporate use
*** Salvaging derelict ships for equipment
*** Seeking new sources of manufacturing resources

iv. Jaber Express Acquisition Services (JabAc)

a) Jaber Express Acquisition Services is the division for working within and outside of UEE space, interacting with traders and merchants for the acquisition of goods.
b) Their operational duties include the following:

*** Procuring rare and hard to find goods for resale and internal use
*** Working with other trade companies to acquire needed specialty goods
*** Tracking down criminals with the intent of legally collecting a bounty.
*** Acquisitions personnel may waive standard JabSec security coverage at their discretion, though JabSec will hold no liability should this lead to a non-positive outcome for the member of JabAc in question.
*** Working outside of UEE-controlled space in a manner not covered by another division, excepting duties that fall under JabEC’s purview

c) It should be noted that JabAc will be superseded by JabEx in standard trading, but will focus on items and trade goods that require specialist knowledge, skills, or networking for initial acquisition.

v. Jaber Express Fabrication Services (JabEF)

a) Jaber Express Fabrication Services will handle the mining and manufacturing concerns of JabCon.
b) Their operational duties include the following:

*** Management and maintaining factories with the purpose of producing goods.
*** Handling any other production of goods to be defined by JabEF’s Divisional Charter
*** Establishing and running mining operations
*** Refinement of raw materials

B. Divisional Charters

i. Definition

a) Each Division must enact a charter which lays out the rules and regulations within that division.
b) The divisional charter must not ever contradict the corporate charter, and in any situation where either could apply, the corporate charter always takes precedence.
c) The divisional charter must include the following:

*** Organization structure
*** Financial concerns – divisional wallets, divisional assets, taxation of members and operations, etc.
*** Operational plan – the operational goals of the division, and how it intends to meet those goals.

ii. Creation and Amendment

a) Each division head must draft a divisional charter upon creation of the division. This draft must then be approved by an absolute majority vote by the board. Forcing a redraft if it fails.
b) Amendments to the charter will require a simple majority vote by the board.

iii. Scope

a) The Scope of the divisional charter is in two forms:

*** Divisional – any rules and regulations that pertain to the members of that organization.
*** Operational – any rules and regulations that pertain to all corporate members participating in a division run operation.

C. Operations

i. Definition

a) An operation is defined to be any corporate organized operations, or any situation where the members of the corporation, whether at a corporate-wide or divisional level, work together with the intended purpose of making profits for the corporation.
b) This does not include any time corporate members are working together, but only when it is determined that they are doing it in a corporate-run manner.

*** Personal Activities will include member(s) of the corporation working together or alone without the intended purpose of making profits for corporation purposes. The corporation will not be held liable for any illegal activities, or damage/loss of member property or health that occur during Personal Activities.

ii. Management

a) Each operation will have an operational commander.
b) The operational commander will initially be the individual member who has proposed the operation, should they be a member of the pertinent Division. Leadership may be assumed by the Divisional Head or other individuals as the situation requires, to be determined in-Division per individual Division Charters.
c) In the case an operation is determined to apply to the roles of multiple divisions, each of those divisions will be in charge of their aspect of the operation, but operation will still be in the hands of that division which closes fits the overall type of the operation. In the case where this cannot be determined, the divisions will act as a Task Force as best they are able without a singular commander. The CEO or Vice-CEO may appoint a Task Force Commander should it be deemed necessary.
d) JabSec is the exception to this rule. The safety of our employees is important at JabCon. In any situation which is deemed sufficiently dangerous, the head of JabSec is allowed to overrule the person in charge of the operation if they believe it to be a security concern. However, the CEO and Vice CEO may overturn this decision.

III. Management

A. All corporate wide decisions that are not expressly mentioned in this charter will be determined by the CEO. If the CEO is unable or unwilling to make such a decision, then the Vice-CEO will make the decision.

B. Divisional heads are appointed by the CEO, and will be given advisory data per popular vote. If an opening for a divisional head remains open for period of 7 days, the Vice CEO may appoint some. If it then remains open for 14 days (a further 7 days), then the Board may propose and vote on it, with a simple majority being required.

C. Any position within the corporate structure may be reassigned by a ⅔ vote by the board.
All human resource operations (including recruiting, accepting applications, firing employees), will be handled by the CEO and Vice-CEO. In addition, they may appoint any employees to serve in the human resources role. Board members cannot be fired in this way. Instead, they must be first reassigned (see III.C.) before being terminated.

Finances

A. All corporate finances will be managed by the CEO and Vice-CEO.

B. Management of divisional wallets will also be done by CEO and Vice-CEO if there is not some technology in place which allows the control of separate wallets.

C. All corporate wallet transactions must be recorded, whether electronically or manually.

D. All members of the board reserve the right to audit any of the wallets.

E. If an audit shows some discrepancy, all finances will be frozen until such a time that the board approves of an unfreezing.

F. The corporation may add a tax rate to the members of the corporation. Taxes are limited to corporation operations. In the event of special circumstances, activated only by a unanimous Board vote, taxes may be applied to non-corporate activities.

G. This section will be revisited and modified upon finalization of relevant mechanics. At such time, a rewrite will be required and approved by an absolute majority of the Board.

V. Other

A. Violations and Complaints

i. Any violations should be brought to the attention of the board. If it is determined that a member of JabCon has violated this charter, disciplinary action can be taken by a vote of the board. If the accused is a member of the board, then they may not participate in the vote.

ii. Any complaints should also be taken to the board. Disciplinary action may be taken, as determined necessary by the board.

iii. Administrative complaints may be brought before the board by any member. Should the board fail to address the complaint to the complainant’s satisfaction, administrative changes may be brought about via a vote (see I.B.ii).

iv. The Board may, at its discretion, take up individual matters pertaining to any damage or threat to the well-being and/or reputation of the Corporation, which do not contradict this charter. Said matters will be weighed in by participating members of the board in closed session and voting on proposed solutions will be handled by a simple majority with any ties (due to abstaining/lack of participation by board members) being severed by the CEO. Should the CEO abstain, the Vice CEO will be the tiebreaker, and should both abstain the division head of JabSec would do so.

B. General Practices

i. All votes have a timeout period of 14 day (336 hours) from vote initiation after which they fail.

ii. References to active members apply to any member who has been present in the last 30 days.
