Charter of Nova Dynamics

Article I: Name and Purpose

Section 1: Name

The name of this organization shall be Nova Dynamics.

Section 2: Purpose

Nova Dynamics is dedicated to delivering top-tier freelance engineering solutions and reliable cargo running services across the space frontier. Our mission is to facilitate advanced space exploration, colonization efforts, and commercial ventures by providing expert engineering support and efficient logistics.

Article II: Membership

Section 1: Eligibility

Membership is open to individuals and entities with proven expertise in engineering, logistics, and space operations. Prospective members must demonstrate alignment with Nova Dynamics’ mission and standards.

Section 2: Admission

Membership applications will be reviewed by the Membership Committee. Acceptance requires a majority vote from the committee members.

Section 3: Rights and Responsibilities

Members have the right to participate in all Nova Dynamics activities, vote in general meetings, and access organizational resources. Members are expected to uphold the organization’s values, complete tasks responsibly, and contribute positively to the community.

Section 4: Termination

Membership may be terminated by a two-thirds vote of the Executive Board for conduct harmful to Nova Dynamics or failure to meet responsibilities.

Article III: Governance

Section 1: Executive Board

The Executive Board shall consist of the President, Vice President, Secretary, Treasurer, and Heads of the Engineering and Cargo Divisions.

Section 2: Duties

President: Provides overall leadership, represents Nova Dynamics publicly, and presides over meetings.
Vice President: Assists the President and assumes their duties in their absence.
Secretary: Maintains records, manages correspondence, and keeps meeting minutes.
Treasurer: Manages financial affairs, including budgets and financial reports.
Head of Engineering Division: Oversees engineering projects and ensures adherence to quality standards.
Head of Cargo Division: Manages cargo operations, logistics, and ensures safe and timely delivery.
Section 3: Elections

Officers are elected annually by a majority vote of the membership. Nominations must be submitted at least one month before elections.

Section 4: Meetings

The Executive Board meets monthly. General membership meetings are held quarterly. Special meetings may be convened by the President or upon request of a majority of members.

Article IV: Divisions and Committees

Section 1: Engineering Division

The Engineering Division is responsible for managing all freelance engineering projects, including design, construction, maintenance, and consulting services.

Section 2: Cargo Division

The Cargo Division handles all aspects of cargo operations, including transportation, storage, and delivery across space. It ensures the safe and timely movement of goods.

Section 3: Committees

Committees may be established by the Executive Board to address specific needs or projects. Committee members are appointed based on their expertise and willingness to serve.

Article V: Finances

Section 1: Funding

Nova Dynamics is funded through membership dues, service fees, grants, and donations.

Section 2: Budget

The Treasurer prepares an annual budget, which must be approved by the Executive Board. Financial reports are presented at general meetings.

Section 3: Fiscal Year

The fiscal year begins on January 1st and ends on December 31st.

Article VI: Amendments

Section 1: Proposal

Amendments to this charter may be proposed by any member and must be submitted in writing to the Secretary.

Section 2: Approval

Amendments require a two-thirds vote of the members present at a general meeting.

Article VII: Dissolution

Section 1: Procedure

Nova Dynamics may be dissolved by a three-fourths vote of the membership. Upon dissolution, assets will be distributed to organizations with similar missions, as determined by the Executive Board.

Section 2: Notification

Members must be notified of the intent to dissolve at least 30 days prior to the vote.

This charter is adopted by the founding members of Nova Dynamics on this day, 19/7/2024, and shall be effective immediately.
