Orion Dynamics Charter

Preamble

Orion Dynamics is established as a lawful corporation committed to exploration, industry, and security in the verse. We, the members of Orion Dynamics, hereby enact this Charter to define our mission, values, governance, and responsibilities to ensure the growth and stability of our corporation.

Article I: Name and Purpose

Name: The official name of this entity shall be Orion Dynamics.
Purpose: Orion Dynamics is founded to advance lawful activities within the verse, focusing on mining, haulage, and security. Our mission is to harness the riches of space, facilitate safe trade, and protect our members and allies.

Article II: Core Values

Integrity: All members are expected to uphold the law, conduct themselves with honesty, and ensure all actions align with the values of Orion Dynamics.
Collaboration: Orion Dynamics operates under the principle of cooperation. We support one another, share resources, and work together to achieve our collective goals.
Security and Safety: Ensuring the safety of our members and operations is paramount. The Security Division is tasked with defending the corporation and securing the trade lanes.
Progress and Prosperity: We seek growth through industry, exploring new opportunities and ensuring sustainable wealth for all members.

Article III: Structure and Governance

Council of Command:

Orion Dynamics shall be led by a Council of Command, comprising the Council Director and the heads of each division.
The Council is responsible for strategic decisions, planning expansion, negotiating alliances, and ensuring smooth operations across all divisions.

Divisions:

Mining and Resource Division: Focused on resource extraction, using ROC-DS miners and other tools to gather materials for sale or further processing.
Haulage and Logistics Division: Handles the transportation of mined resources and goods, ensuring they reach their destination safely and efficiently.
Security Division: Tasked with protecting the corporation’s assets, providing escort services, and conducting asset protection operations.

Division Heads: Each division shall have a Division Head, appointed by the Council, responsible for coordinating day-to-day activities and managing division members.

Article IV: Membership

Eligibility: Membership is open to individuals willing to uphold the values and mission of Orion Dynamics. Applicants must agree to abide by the laws of the UEE and Orion Dynamics’ regulations.

Responsibilities:

Members must actively contribute to the corporation’s success, be it through mining, hauling, security, or other activities.
Members are required to assist fellow members in times of need and participate in organized group activities when possible.

Code of Conduct:

To maintain the professionalism and integrity of Orion Dynamics, all members must adhere to the following Code of Conduct:
Respect for Others: All members must treat fellow organization members and allied individuals with respect and professionalism. Discriminatory or offensive behavior, harassment, or bullying will not be tolerated.
Lawful Behavior: Orion Dynamics is committed to upholding lawful activities. Members are prohibited from engaging in piracy, theft, unauthorized aggression, or any unlawful behavior that could damage the reputation of the organization.
Operational Integrity: Members are expected to complete assigned missions and roles to the best of their ability. Reckless behavior that puts others at risk during mining, haulage, or security operations is unacceptable.
Loyalty to the Corporation: Members must act in the best interests of Orion Dynamics. Sharing sensitive information, assets, or strategic details with unauthorized individuals is strictly prohibited. Members found compromising the safety or privacy of Orion Dynamics will face immediate disciplinary action.
Chain of Command: Respect for the chain of command is fundamental to the efficient operation of Orion Dynamics. Members should follow orders given by their superiors unless those orders conflict with the values of the organization or compromise member safety.
Team Collaboration: Orion Dynamics is founded on collaboration. Members are expected to support one another, communicate effectively, and foster a positive and cooperative environment. Active participation in group activities, such as mining runs, convoy escorts, or training sessions, is highly encouraged.
Property and Resources: The corporation’s assets, such as ships, vehicles, equipment, and facilities, are meant to serve the collective good. Members must use corporate resources responsibly and report any damage or issues to maintain the efficiency and operational readiness of the organization.
Conflict Resolution: Conflicts between members must be resolved professionally. If a dispute cannot be settled internally, it must be escalated to the appropriate Division Head or the Council of Command for mediation.
Representation: Members are representatives of Orion Dynamics both within and outside the organization. Members must conduct themselves in a way that upholds the values of Orion Dynamics, especially during interactions with other entities or citizens of the verse.

Article V: Roles and Ranks

Council Director:

The overall leader of Orion Dynamics, responsible for ensuring adherence to the charter, strategic decision-making, and external relations.

Division Head:

Leads a specific division, manages operations, and ensures member needs are met. Division Heads also serve on the Council of Command.

Senior Operative:

Experienced members who have demonstrated significant contributions. They assist Division Heads in coordinating activities and lead field missions.

Operative:

The core members actively involved in executing mining, logistics, and security tasks. They form the bulk of the organization and take part in all operational activities.

Cadet:

New recruits undergoing orientation and training. Cadets assist Operatives and Senior Operatives in basic tasks and missions to learn the ropes.

Initiate:

Entry-level members who have just joined Orion Dynamics. Initiates assist in non-critical tasks and shadow Cadets or Operatives to prove their commitment before promotion to Cadet status.

Article VI: Recruitment and Promotion

Recruitment:

New Applicants: Applicants (Initiates) must apply to join Orion Dynamics through the appropriate divisional channels. Acceptance of new Initiates can be approved directly by the Division Head.

Promotion:

Promotion to Cadet: To be promoted from Initiate to Cadet, a divisional vote must be conducted. The promotion requires a majority vote from the members of the division.
Promotions Within Divisional Levels: Promotions up to and including Senior Operative are conducted at the discretion of the Division Head. Once promotions are made, a notification must be sent to the Council of Command for record-keeping purposes.
Division Head Promotion: Promotion to Division Head requires a specific division vote on eligible candidates. Once a candidate is selected, they must be approved through a vote by the Council of Command. The outgoing Division Head, if present, will also have a vote within the Council before formally stepping down.

Article VII: Operations and Activities

Mining Operations:

Resource Extraction: Regular mining missions shall be organized by the Mining and Resource Division, focusing on asteroid belts, moons, and other resource-rich locations. Profits from mining shall be shared equitably among participants after covering operational costs.
Joint Mining Ventures: The Mining Division shall coordinate joint ventures with allied organizations when needed to increase output, improve efficiency, or fulfill large contracts.

Haulage Convoys:

Logistics Planning: The Haulage and Logistics Division shall organize and oversee the safe transportation of goods and resources. Convoy routes will be planned carefully to minimize risks, and transport missions will be scheduled based on demand and opportunity.
Supply Runs: The Logistics Division shall also be responsible for conducting supply runs to ensure the corporation’s mining outposts and other facilities are well-stocked.

Asset Protection:

Convoy Escort: The Security Division will provide armed escorts for haulage convoys to ensure their safety from threats, including pirates and other hostile forces.
Site Defense: Security teams shall be deployed to protect active mining sites and high-value corporate assets from attack.
Lawful Bounty Contracts: The Security Division will also engage in lawful bounty contracts as necessary to deter criminal activity in areas where Orion Dynamics operates, helping to maintain safe trade lanes and uphold the rule of law.

Training and Drills:

Training Programs: Each division will conduct regular training sessions for members to enhance their skills. Training will include mining techniques, convoy escort tactics, and emergency response.
Operational Drills: Orion Dynamics shall conduct organization-wide operational drills to ensure readiness for large-scale operations, including emergency evacuations, security response, and multi-division mining and haulage tasks.

Expansion and Infrastructure Development:

Outpost Establishment: The Mining and Resource Division and Haulage Division will work together to establish outposts at resource-rich locations. These outposts will act as bases for long-term mining operations and include storage facilities.
Fleet Expansion: The Council of Command will prioritize the expansion of the corporate fleet, ensuring that each division has the necessary ships and vehicles to carry out its mission effectively.

Article VIII: Decision-Making Process

Divisional Voting: Key decisions affecting specific divisions shall first be discussed and voted upon within each division. Division members will have the opportunity to express their opinions and vote, and the results will be communicated to the Division Head.

Council Voting: Once divisional voting results have been gathered, the Council of Command will conduct a final vote to make decisions that impact the entire corporation. Each Division Head will present their division’s stance, and a simple majority is required to pass a resolution.

Article IX: Amendments

Amendment Proposal: Any member may propose an amendment to the Charter. Proposals must be submitted to the Council Director.
Approval: Amendments require a two-thirds majority vote by the Council of Command for ratification.

Article X: Dissolution

In the unlikely event that Orion Dynamics must be dissolved, all remaining assets shall be distributed equitably among current members, after settling outstanding liabilities.
