History

Galactic Changes:

Greater world populations and consumption per person is expected to increase system-wide demand for dairy products.

Area 18, Lorville and Orison will account for 93 percent of the population increase in the upcoming decade. However, will people in these areas have the income to purchase dairy products from areas of excess production?

Microtech will continue to have the most tillable land per person and the infrastructure and technology to produce dairy products efficiently. Will planets with rapidly growing populations invest in infrastructure to produce their own food or will they develop reliable partnerships to import their food?

Precision management

Dairy farms will continue to become more automated with sensors and robotics.

Integrated sensors and the use of artificial intelligence are rapidly developing. Sensors will be integrated in a cloud based system with farm based algorithms that will be used to monitor and improve crop and soil health, animal welfare, and water and air quality.

Technology will increase labor efficiency.
This is where we come in. Space Milk Inc. The new face of Milk in a growing galactic economy.

Founded in 2889 by Intrepid pioneer and multi-billionaire Alexander “Milk” Milkerton, his love for exploration and space dairy propelled him to new heights when he realized that there was a very large gap in the market for milk in space. Using his industry smarts, vast capital and business connections, Milkerton filled that market gap with sweet, sweet milk. This made him for a brief period, the richest man in space. For years, Space Milk Inc. saw great riches and grew at an incredible rate, reaching out to even the most remote service stations at the ends of the system. But with great milk, comes great jealousy.

In 2938, during the largest single ship milk transport ever attempted, disaster struck. Milkerton was a very experienced pilot and was very adamant that he needed to be the one to deliver the milk. So on that fateful day he was chief officer and captain aboard the M.S. Big Bertha, a custom liquid transport ship capable of transporting up to 6900 Liquid SCU (lSCU) On route from Port Olisar to Microtech, the transport ship was interdicted by pirates. In a valiant display, Milkerton was able to pilot the ship evasively, buying the large crew enough time to evacuate safely. Using the ships defensive guns, he was actually able to defeat several of the pirates, but there were too many. After sustaining too much damage, the ships systems failed and the inevitable was coming. In his final transmission and voice recording, Alexander Milkerton was seen calmly walking to the ships galley and drinking a glass of pure space milk. He then smiled, surprisingly calm and distinguished, and spoke his final words. “My friends, my time has come. Just because it ends for me like this doesn’t mean that we should stop our mission of bringing milk to every corner of this god damn galaxy. Keep pushing forward and keep milking. We can come back better than ever after this, learn from my mistakes and rebuild. I entrust my company to the Board of Directors. It’s up to us, and us alone. This is Alexander Milk signing off.”

Milkerton then set the ships self destruct, not wanting that much milk to fall into the wrong hands. Alexander Milkerton was the only casualty from the company on that day and his heroism has been honored and recognized by the UEE and even several feature films and documentaries. Going out in a blaze of milky glory, Alexander “Milk” Milkerton shines as bright as any star, and pushes our company to rebuild stronger than before.

10 years from that fateful day, Space Milk Inc. is still pushing the industry forward, even without the near-limitless capital of the Milkerton galactic estate, the future looks rich and creamy for all of here at Space Milk Inc.

Manifesto

We can take milk, or leave it. Take milk fat, or leave that. Either way, we can have a good diet of wholesome milk in sensible combinations — or not. But either way, we need to take seriously the reverberations of our milk choices across the landscape of a shrinking universe, and the legacy of kindness or cruelty by which history will be invited to judge us.

We, the founders of Space Milk Incorporated, declare that our mission is to change the galaxy for the better by providing nutritious and healthy milk to all spacefarers.

We are determined to revolutionize the dairy industry by setting up a new standard of fresh and natural milk that is available for everyone, irrespective of who they are or where they come from.

Space Milk Incorporated is committed to becoming a sustainable, equitable, and ethical company that values the health and wellbeing of its customers and employees in all its ventures. We will always prioritize the welfare of our customers by producing milk that is free from harmful chemicals or artificial additives.

Space Milk Incorporated

Article I
Name
The name of this Association shall be Space Milk Inc.

Article II
Address of Resident Office and Resident Agent

The address of the Association’s registered office on ArcCorp is IO-North Tower Group C Floor 169, Plaza District, Area 18, 66603, and the name of its resident agent at such address is The Corporation Company, Inc.

Article III
Purposes of the Association

The Association is formed for the following purposes:
(a) To engage in any activity in connection with collecting, processing and marketing the products of the Association’s members;

(b) To distribute on a uniform basis the marketing proceeds after paying the expenses and matured liabilities of the Association; and

© To engage in any lawful act or activity for which an Association may be organized under the ArcCorp Cooperative Marketing Act.

Article IV
Directors

The business and affairs of the Association shall be managed by a board of directors. The number of directors will be as set forth in the Bylaws of the Association, but shall be no less than four (4). The term of office of directors shall be as set forth in the Bylaws. The Bylaws may provide that directors may have more or less than one vote per director on any matter, in which case any reference in the ArcCorp Cooperative Marketing Act or other applicable law to a majority or other proportion of directors shall refer to a majority or other proportion of the votes of such directors.

Article V
Membership

(a) The Association is organized without membership capital stock. The property rights and interests of each member shall be unequal. The property rights and interests of each member shall be determined and fixed in the proportion to the stated value of the retained patronage dividends, per-unit retains, and other allocated equity owned by the member to the total retained patronage dividends, per-unit retains, and other allocated equity of all members of the Association. New members admitted to membership shall be entitled to share in the property of the Association in accordance with foregoing general rule.

(b) This Association shall be operated on a cooperative, non-profit basis for the mutual benefit of its members as producers, and membership in the Association shall be restricted to producers who patronize the Association. Only members of the Association shall be entitled to vote on the affairs of the Association, provided that, pursuant to procedures set forth in the Bylaws and the laws of the Planet of ArcCorp, members will elect delegates who shall be entitled to vote in lieu of a vote of the members on all matters requiring a vote of members.

© All allocated member capital accounts, whether or not evidenced by written notices of allocation or per-unit retain certificates, shall be subordinated to the claims of the Association’s creditors and the claims of the holders of the preferred equity capital contemplated by subsection (d) of this Article V and shall not be subject to realization or anticipation.

(d) The Board of Directors by resolution may establish and issue to any person, one or more than one class or series of preferred equity capital. The Board of Directors is hereby granted express authority to (i) set forth the designation of classes or series of such preferred equity capital, (ii) subject the preferred equity capital to redemption at designated times and prices, (iii) fix the relative rights, designations, preferences, privileges, qualifications, restrictions and limitations of each class or series of preferred equity capital, and (iv) establish a liquidation preference (including accumulated and unpaid dividends, if any) for each class or series of preferred equity capital over member capital accounts, in each case as the Board of Directors, in its sole discretion, may from time to time determine. Dividends may be paid on the preferred equity capital; provided that such dividends may not exceed eight percent (8%) per annum. Dividends may be cumulative. Holders of the preferred equity capital shall not, by virtue of holding such preferred equity capital, become members of the Association. Preferred equity capital shall not be entitled to voting rights with respect to the affairs of the Association, except as otherwise required by law. The initial authorized preferred equity shall be 225,000,000aUEC, consisting of 2,250,000 securities par value 100aUEC each. However, the board members reserve the right to adjust or deny shares at their discretion.

Article VI
Amendment

(a) The Articles of Incorporation of the Association may be altered, amended or repealed, or new articles adopted, by an affirmative vote of two thirds (2/3) of the votes entitled to be cast by the entire board of directors then in office and then approved by a vote representing a majority of all the members of the Association. In lieu of a vote representing a majority of all the members of the Association, an amendment may be approved by a vote of two thirds (2/3) of the voting members present and voting at an annual meeting of the Association or a special meeting called for the purpose of voting on the amendment and upon written notice sent by first-class mail to every member at such member’s last known post-office address at least ten (10) days prior to such meeting.

(b) The Bylaws of the Association may be altered, amended, or repealed, or new Bylaws adopted at any time by either (i) an affirmative vote of two thirds (2/3) of the votes entitled to be cast by directors at any meeting of the board of directors, or (ii) by an affirmative vote of a majority of the votes entitled to be cast by delegates voting at an annual meeting of delegates.

Article VII
Principal Place of Business

The principal place of business for the Association shall be in Area 18, ArcCorp.
